Terms of Service
These Terms of Service ("Terms") are an agreement between you and AutoDispatch ("AutoDispatch", "we", "us") and cover your use of the AutoDispatch website, web apps, the AutoDispatch driver app and the AutoDispatch Connection browser extension (together, the "Service"). By creating an account, accepting an invitation, submitting a shipping request or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm you're authorized to accept these Terms for that company, and "you" includes the company.
1. Who can use AutoDispatch
- You must be at least 18 and able to enter a binding contract.
- The Service is meant for the U.S. auto-transport industry and for people shipping a vehicle in the United States.
- You must give accurate, current information and keep it up to date. You're responsible for everything done with your account, including by your dispatchers and drivers, and for keeping your password and devices secure.
- One person or company per account, unless the Service is designed for team access (owners can invite dispatchers and drivers to their team).
2. What AutoDispatch is — and isn't
AutoDispatch provides an online platform: a load board, dispatch and team tools, a driver app for inspections, photos, signatures and location, document tools (such as bills of lading and invoices), and a way for customers to send shipping requests to brokers on the platform.
- We are not a motor carrier, broker or freight forwarder, and we don't arrange, perform or control any transportation. Any agreement to move a vehicle is made directly between the users involved (for example a broker and a carrier, or a customer and a broker), on terms they agree to.
- We don't guarantee that any load will be posted, accepted, picked up, delivered on time or delivered without damage, or that any user will perform or pay.
- Load details, rates, contact details and documents are provided by users. We don't check them for accuracy and we're not responsible for them.
3. Verification and "Verified" accounts
Before an account is marked verified, we may check information against public sources such as the FMCSA (Federal Motor Carrier Safety Administration) and our team may review documents you upload, such as insurance certificates, W-9s, licenses and broker bonds. A "Verified" label means only that an account passed these checks at the time they were done. It is not a guarantee of a company's identity, authority, insurance, safety, financial condition or honesty, and those things can change after verification. Always do your own checks before you work with someone. We may refuse, pause or remove verification, or suspend an account, at our discretion — for example if documents expire, information doesn't match, or we suspect fraud.
4. Your responsibilities
Carriers are responsible for holding and maintaining the operating authority, registrations, insurance (including cargo and liability coverage) and qualified, properly licensed drivers required by law for the work they accept, and for following all safety, hours-of-service and transportation laws.
Brokers are responsible for holding the broker authority and financial security (such as a BMC-84 bond or BMC-85 trust) required by law, for the accuracy of the loads they post, and for paying carriers as agreed.
Dealers and shippers are responsible for the accuracy of vehicle and pickup information and for releasing vehicles only to the authorized carrier.
Customers who send a shipping request are responsible for the accuracy of the request and for dealing directly with the broker who accepts it.
Everyone is responsible for complying with the law, for the content they post, and for keeping the account information and documents they upload truthful and current.
5. Loads, offers and agreements between users
- When you post, request, offer, accept or assign a load, you're dealing with the other user, not with AutoDispatch. Rates, payment terms, pickup and delivery windows and any other terms are between you.
- Load-specific terms shown when you request or accept a load (for example authority, insurance and cancellation terms) are part of your agreement with the other party and apply together with these Terms. If they conflict with these Terms as to AutoDispatch, these Terms control.
- Don't post loads you don't have the right to offer, and don't re-broker or "double broker" loads without the shipper's and the original carrier's written permission.
6. Payments between users
AutoDispatch does not hold or guarantee payments between users and is not a bank, an escrow service or a money transmitter. Unless a payment is made with AutoPay (section 6A), payment happens directly between the parties, outside the Service, and invoices and "Billed" and "Paid" statuses in the Service are records the users keep for their own convenience. We are not responsible for unpaid or late payments, chargebacks or payment disputes, whether or not AutoPay was used.
6A. AutoPay (online payments through Stripe)
AutoPay is an optional feature. When a carrier has turned it on, the people it sends a bill of lading or invoice to can pay for that load online by bank transfer, card, Apple Pay or Google Pay.
- Who processes the payment. AutoPay payments are processed by Stripe, Inc. and its partner banks. The payer pays the carrier directly: the charge is made on the carrier's own Stripe account and Stripe pays it out to the carrier's bank. AutoDispatch provides the payment page and records the result. We never receive, hold or transmit the funds, and we never see or store card numbers, bank logins or bank account numbers.
- Carriers: your Stripe account. To use AutoPay you open a Stripe account through the Service and agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. You must give Stripe accurate information and keep it current. Stripe decides whether to open, limit, pause or close your account, when to pay out, and whether to hold or reserve funds; AutoDispatch does not control those decisions and is not responsible for them. You are the seller for every AutoPay payment.
- Fees. Each AutoPay payment has two fees: Stripe's processing fee and an AutoDispatch service fee (a percentage of the load price). The current AutoDispatch fee, how the two fees are shared between the payer and the carrier, and an example are shown to the carrier in Settings before AutoPay is turned on. The payer's part is shown to the payer as a separate line, with the total, before they pay. The carrier's part and the AutoDispatch fee are taken from the payment through Stripe. By turning AutoPay on, the carrier agrees to this arrangement for its payments. We may change the fees or the split for future payments and will show the new amounts in the Service before they apply.
- Cards. A payer who uses a debit or prepaid card is not charged any part of the card processing fee; neither is a credit card billed in a place where such a charge isn't allowed. In those cases the payer pays only their part of the AutoDispatch service fee and the carrier covers the card fee. Because the kind of card is only known after it is entered, a card is first authorized for the credit-card total shown and then charged the correct amount; any difference is released by the card's bank, which can take a few days to show.
- Carriers: your responsibilities. Only request payment for transport you have agreed to perform or have performed, for the agreed price. You are responsible for your dealings with your customer, for refunds, for answering disputes and chargebacks (including any dispute fees Stripe charges), for taxes and tax reporting on what you are paid, and for following the law and the card networks' rules that apply to your business.
- Refunds and disputes. Refunds are made by the carrier from its Stripe dashboard. A dispute or chargeback is handled between the payer, the payer's bank or card issuer, Stripe and the carrier. AutoDispatch is not a party to it and does not decide it. Unless the law requires otherwise, Stripe's fees and the AutoDispatch service fee are not returned when a payment is refunded or reversed.
- Payers. When you pay with AutoPay you authorize a charge to your card or bank account for the total shown, payable to the carrier named on the payment page. Bank payments are debited under the authorization shown on Stripe's page. You are paying the carrier, not AutoDispatch; questions about the transport, the price or a refund go to the carrier. AutoDispatch is not a party to the transport and does not guarantee it.
- "Paid" and "processing". The Service marks a load as paid when Stripe confirms the payment. A bank payment shows as processing for several business days and can still fail or be returned by the bank, and any payment can later be refunded or disputed. A status in the Service is information, not a guarantee by AutoDispatch that funds are final.
- Availability. AutoPay may not be available for every account, load or amount. We may pause or switch off AutoPay for an account or a payment where we suspect fraud, misuse or a breach of these Terms.
7. Damage, claims and disputes between users
Claims for loss of or damage to a vehicle, delays, missed pickups, cancellations or non-payment are between the users involved and their insurers. Inspection photos, signatures and bills of lading created in the Service may help you document a claim, but we don't decide disputes and aren't responsible for the outcome. We may share records of a load with the parties to that load if they ask, and with others if the law requires it.
8. Drivers, location and inspections
- While a driver is on duty in the driver app, it records the device's location about every 30 seconds. That location is shown to the driver's carrier and its dispatchers, and — while the driver is hauling their load — to the broker and the customer for that load, together with the driver's name and phone. Drivers are told this in the app and can go off duty at any time. See the Privacy Policy for details.
- Carriers that invite drivers are responsible for any notice or consent their drivers are entitled to under employment, contractor or privacy laws that apply to them.
- Inspection photos, notes, damage marks and signatures are records created by the driver and the people at pickup and delivery. Make them accurate and complete.
9. Electronic records and signatures
You agree that bills of lading, inspection reports, invoices and other records created in the Service, and signatures captured in the driver app, can be made and kept electronically and have the same effect as paper records and handwritten signatures, to the extent the law allows. By signing in the app you confirm you're the person named (or authorized to sign for them) and that the record is accurate.
10. Fees and free periods
Some features may require a paid plan. If fees apply to your account, we'll tell you the price and terms before you're charged. AutoDispatch may give an account free time (for example 1, 3 or 6 months); free time ends on the date shown on your account unless it's extended in writing, and may be withdrawn if these Terms are broken. We may change prices with advance notice. Except where the law requires otherwise, fees already paid are not refundable. AutoPay has its own per-payment fees, described in section 6A and shown in the Service before a payment is made.
11. Acceptable use
You agree not to:
- post false, fraudulent or misleading loads, rates, company details, documents or reviews, or impersonate any person or company;
- use the Service for fraud, theft of vehicles or identity, double brokering, or to avoid paying another user;
- send spam, harassment, threats, discriminatory or unlawful content, or use contact details you get through the Service for anything other than the related load;
- scrape, copy or resell data from the Service, or access it with bots or automated tools we haven't approved;
- try to get into accounts or data that aren't yours, probe or attack the Service, upload malware, or get around limits and security measures;
- break any law, including transportation, privacy, consumer-protection and export laws.
12. Ratings and reviews
Ratings and reviews must reflect a real experience with the company being rated. Don't offer or accept anything in exchange for a review, review your own company or a competitor, or post reviews that are false or abusive. We may remove reviews that break these rules but we don't verify every review, and reviews are the opinions of the users who wrote them, not of AutoDispatch.
13. Your content
You keep ownership of the content you put into the Service (loads, documents, photos, notes and so on). You give AutoDispatch a non-exclusive, worldwide, royalty-free license to host, copy, process, display and share that content as needed to run, secure and improve the Service and as you direct (for example when you send a bill of lading or share a load). You confirm you have the right to upload it. Our Privacy Policy explains how we handle personal information.
14. Third-party services and data
The Service uses and links to third-party services and data — for example FMCSA records, map and address providers, vehicle-identification lookups, email delivery, an AI service that reads dispatch sheets you choose to upload, Stripe for AutoPay payments, and the Central Dispatch website the browser extension works with. We don't control those services and aren't responsible for their availability, accuracy or terms. Your use of another website (such as Central Dispatch) is subject to that website's own terms, and you're responsible for complying with them.
15. Suspension, termination and account deletion
You can stop using the Service at any time and delete your account from Settings or by contacting support. We may suspend or close an account, remove content or limit features if we reasonably believe these Terms or the law have been broken, to protect users or the Service, or if an account is inactive. Sections that by their nature should continue (such as 6, 7, 13, 16–19) continue after your account ends. What is deleted and what is kept when an account is deleted is described in the Privacy Policy.
16. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, AutoDispatch disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Service will be uninterrupted, error-free or secure, or that information in it (including verification results, FMCSA data, maps, routes, distances and location) is accurate or complete.
17. Limitation of liability
To the fullest extent the law allows, AutoDispatch will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, or for any loss or damage to vehicles or property, delays, or the acts, omissions, non-payment or fraud of any user or third party. Our total liability for all claims relating to the Service is limited to the greater of the fees you paid AutoDispatch in the 12 months before the claim or US $100. Some places don't allow some of these limits, so they may not all apply to you.
18. Indemnity
You agree to defend and indemnify AutoDispatch and its owners, staff and contractors against claims, losses and costs (including reasonable attorneys' fees) arising from your use of the Service, your loads and transportation activities, your content, your dealings with other users, or your breach of these Terms or the law.
19. Disputes with AutoDispatch
If you have a problem with the Service, contact us first at support@autodispatch.net — most issues can be solved quickly that way. These Terms are governed by the laws of the U.S. state in which AutoDispatch is organized, without regard to its conflict-of-law rules, and any dispute with AutoDispatch that isn't resolved informally will be handled in the state or federal courts located there, unless the law where you live requires otherwise.
20. Changes to these Terms
We may update these Terms from time to time. If a change is material we'll give notice in the Service or by email before it takes effect, and the version number and date above will change. If you keep using the Service after the change takes effect, you accept the updated Terms; if you don't agree, stop using the Service and delete your account.
21. General
These Terms, the Privacy Policy and any load-specific terms you accept are the entire agreement between you and AutoDispatch about the Service. If part of these Terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, employment or agency relationship between you and AutoDispatch.
